Summary: By using GEN-MAX you agree to these terms. The service helps you find companies and send personalised cold outreach emails from your own Gmail account. You are responsible for the content of every email you send and for complying with anti-spam laws (UK PECR, GDPR, CAN-SPAM).
1. Acceptance of Terms
By creating an account, accessing, or using GEN-MAX (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms form a binding agreement between you and GEN-MAX, operated from the United Kingdom.
2. Eligibility
- You must be at least 18 years old to use GEN-MAX.
- You must have authority to bind any organisation on whose behalf you use the Service.
- The Service is currently invite-only and may not be available in your region.
3. Description of the Service
GEN-MAX is a web application that:
- Searches public sources (Google Places, websites listed in DuckDuckGo) for companies matching criteria you specify.
- Scrapes publicly available business contact information (email, address, descriptions) from those companies' own websites.
- Generates personalised cold outreach email drafts using AI, which you review before sending.
- Sends approved emails from your own connected Gmail account, on your behalf, via OAuth-authorised access.
- Tracks replies and opens to help you avoid duplicate outreach.
4. Your Account
- Accuracy: You agree to provide accurate, current information when you create your account.
- Security: You are responsible for keeping your password and any connected Gmail credentials secure. Notify us immediately if you suspect unauthorised access.
- One per person: Accounts are personal. You may not share your account with others or sell access.
- Termination: We may suspend or terminate your account if you violate these Terms.
5. Acceptable Use
You agree to use GEN-MAX only for lawful, legitimate cold outreach. You must not:
- Send emails that violate anti-spam laws including the UK Privacy and Electronic Communications Regulations (PECR), GDPR, the EU ePrivacy Directive, the US CAN-SPAM Act, or equivalent laws in your recipients' jurisdictions.
- Send unsolicited marketing to consumers (B2C) without proper legal basis. GEN-MAX is intended for B2B outreach to publicly listed business addresses.
- Send harassing, defamatory, fraudulent, deceptive, threatening, hateful, or pornographic content.
- Impersonate another person or organisation.
- Send phishing emails, malware, or any content intended to deceive recipients.
- Use the Service to scrape or contact targets you are legally barred from contacting.
- Attempt to bypass rate limits, send caps, or other technical safeguards.
- Reverse engineer, decompile, or otherwise attempt to extract the source code or AI prompts.
- Use the Service to compete with GEN-MAX, build a substantially similar product, or train a competing AI model.
- Use automated tools, bots, or scripts to interact with the Service beyond what GEN-MAX itself provides.
6. Email Content - Your Responsibility
Every email sent through GEN-MAX is sent from your own Gmail account, by you, after your review and approval. GEN-MAX is a tool that helps you draft and dispatch your own correspondence. You alone are responsible for the content, accuracy, legality, and consequences of every email sent.
Specifically, you confirm that:
- You have a lawful basis to email each recipient (legitimate B2B interest, prior consent, or other valid ground).
- Each email accurately identifies you as the sender and provides a clear way for the recipient to opt out.
- You will honour opt-out requests promptly and will not contact recipients who have asked you to stop.
- The content of your emails does not infringe any third party's intellectual property, privacy, or other rights.
7. Gmail & Google API Use
When you connect Gmail via OAuth, GEN-MAX requests one scope (gmail.send) used solely to send the emails you have reviewed and approved inside the app. We do not read your inbox. Our use of Gmail data complies with the Google API Services User Data Policy, including the Limited Use requirements. Full detail in our Privacy Policy.
8. Usage Limits & Fair Use
- Each plan (free trial and paid) is subject to monthly limits on companies found, emails sent, and AI features. Current limits are visible in your dashboard.
- We may adjust limits to ensure fair use across all users and to prevent abuse.
- You must not attempt to circumvent these limits, including by creating multiple accounts.
- Sending volume should be reasonable and consistent with normal human outreach - not bulk spam.
9. Subscriptions, Billing & Cancellation
- Plans: GEN-MAX is offered on monthly and annual subscription plans. Plan details, prices and included usage are shown on the pricing page at the time of purchase and may be updated from time to time.
- Free trial: Where a free trial is offered, you will not be charged during the trial and your card (if provided) will only be charged on conversion. You may cancel at any time during the trial to avoid being charged.
- Auto-renewal: Paid plans renew automatically at the end of each billing period (monthly or annual) at the then-current price until cancelled. You authorise us to charge your chosen payment method on each renewal date.
- Short-term use: GEN-MAX is designed for short bursts of activity (most users only need it for one to two months). You can cancel at any time from Settings - no phone calls, no friction.
- Cancellation: Cancelling stops the next renewal but does not refund the current period. Your account stays active until the end of the period you have paid for, after which it reverts to free-tier access (or is paused, depending on the plan).
- Refunds: Except where required by law (including statutory UK and EU consumer rights), payments are non-refundable. If you believe you were charged in error, contact us within 14 days and we will review in good faith.
- UK / EU 14-day right: If you are a consumer in the UK or EU you have a statutory 14-day right to change your mind from purchase. By starting to use the Service during this period you expressly request immediate performance and acknowledge that this right may be lost once the digital service has been provided.
- Price changes: We may change subscription prices. Existing subscribers will be notified at least 30 days before any price change takes effect for them; you may cancel before the new price applies.
- Failed payments: If a payment fails, we may retry the charge and/or suspend access until payment is successful. Repeated failures may result in cancellation.
- Taxes: Prices are exclusive of VAT and other applicable taxes unless stated otherwise. You are responsible for any taxes applicable to your purchase.
10. Intellectual Property
- Our IP: GEN-MAX, its software, design, brand, and AI prompts are owned by GEN-MAX. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service while these Terms are in effect.
- Your content: You retain ownership of your CV, lists, templates, and email content. By uploading them you grant GEN-MAX a limited licence to process them solely to provide the Service to you.
- Generated content: AI-generated email drafts are provided as a starting point. You are responsible for reviewing and editing them before sending.
11. Third-Party Services
GEN-MAX integrates with Google Places API, Google Gmail API, and Anthropic Claude. Your use of those services is also subject to their respective terms. We are not responsible for outages, errors, or policy changes by those providers.
12. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, GEN-MAX disclaims all warranties including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted availability.
We do not guarantee that any particular email will be delivered, opened, replied to, or result in any business outcome. Outreach success depends on your content, targeting, and many factors outside our control.
13. Limitation of Liability
To the maximum extent permitted by law, GEN-MAX, its operators and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, lost profits, lost data, lost business opportunities, or reputational harm arising out of or relating to your use of the Service.
Our total aggregate liability to you for all claims arising from or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) £50.
Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
14. Indemnification
You agree to indemnify and hold harmless GEN-MAX from any claim, demand, damage, loss, or expense (including reasonable legal fees) arising out of: (a) your use of the Service, (b) emails you have sent through the Service, (c) your violation of these Terms, or (d) your violation of any law or third-party right.
15. Suspension & Termination
- You may stop using GEN-MAX at any time. To delete your account, contact us at the address below.
- We may suspend or terminate your access immediately, without notice, if we reasonably believe you have violated these Terms, threatened the security of the Service, or used GEN-MAX to send unlawful or harmful emails.
- Upon termination, your right to use the Service ends. Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law) will survive.
16. Changes to the Service or These Terms
We may modify the Service or these Terms at any time. Material changes to the Terms will be communicated by updating the date at the top of this page. Continued use of the Service after a change constitutes acceptance of the revised Terms. If you do not agree to a change, your sole remedy is to stop using the Service.
17. Governing Law & Disputes
These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or your use of the Service is subject to the exclusive jurisdiction of the courts of England and Wales, except where applicable consumer protection law grants you the right to bring proceedings in your country of residence.
18. Miscellaneous
- Entire agreement: These Terms, together with our Privacy Policy, are the entire agreement between you and GEN-MAX regarding the Service.
- Severability: If any provision is held invalid, the remaining provisions remain in effect.
- No waiver: Failure to enforce a right is not a waiver of that right.
- Assignment: You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
